Executive Committee

The Executive Committee is intended to have broad powers to deal with matters which are not reserved to the Board.

Those matters reserved to the Board include:

  • except as specifically delegated, from time to time:
    • investments in new or expanded products and services
    • policy matters governing agency operations
    • major procurement decisions
  • approval of the agency’s operating and capital budgets;
  • approval of quarterly and annual financial statements;
  • appointment of the Auditor;
  • fundamental changes to the business of the agency;
  • amendment of the agency’s by-law; and
  • approval of the annual business plan.

On behalf of the Board, the Executive Committee shall act on matters related to:

  • the Chief Executive Officer's (CEO's) performance, compensation and evaluation;
  • privacy policy implementation;
  • gating policy implementation;
  • human resources;
  • communications policy implementation;
  • information technology related to internal operations;
  • planning and facilities;

all, as contemplated by the approved business plan.

Finance and Audit Committee

The Finance and Audit Committee is empowered to review and recommend policies governing comptrollership and fiduciary matters including:

  • Study and recommend the financial component of the annual business plan;
  • Study and recommend a detailed annual operating budget and capital budget;
  • Review procedures relating to the control of the operational and capital expenditures of the agency;
  • Examine the financial strategies of the agency and their relationship to the priorities established by the board;
  • Review and evaluate long-range revenue and expenditure projections;
  • Study the detailed financial statement for the month prior to each scheduled board meeting and advise the board on any issues;
  • Annually, recommend to the board suitable banking arrangements and the types and amounts of insurances to be carried by the agency;
  • Oversee the financial implementation of the current year’s business plan;
  • Advise the board on financial matters as required;
  • Ensure an effective external financial auditing process;
  • Ensure the credibility and objectivity of the financial reports;
  • Review issues and make recommendations that affect the financial management, financial viability and internal control systems of the agency;
  • Review the agency’s audited annual financial statements and advise the board accordingly;
  • Advise the board regarding the performance and selection of the auditor;
  • Receive the internal audit plan and advise the board accordingly; and
  • Review internal audit activities and advise the board accordingly.

The Corporate Governance Committee assists the board in fulfilling its oversight responsibilities with respect to the management of eHealth Ontario consistent with high standards of corporate governance. Responsibilities include:

  • Ensuring adherence to the Terms of the Memorandum of Understanding (MOU) between the Ministry of Health and Long Term Care (MOHLTC) and the agency;
  • Reviewing matters pertaining to governance policies, as well as compliance therewith;
  • Reviewing matters pertaining to the organization and composition of the board of directors, including the organization and conduct of board meetings and the education, effectiveness and independence of the board of directors, its committees and individual directors;
  • Reviewing matters pertaining to the agency’s, policies and practices in respect of regulatory compliance, conflict of interest and standards of ethical conduct; and
  • Review periodically the communications policy to ensure adherence to the agency’s communication strategies and execution.
